Terms of Service

01The service

Cortex provides a governed runtime for AI agents: authoring, execution, governance controls, observability, and distribution. Plan entitlements (seats, runs, features) are described on the pricing page and in your order form.

02Your content and ours

You retain all rights to the content your organization processes through its tenant, including run outputs. We retain all rights to the platform, its models of operation, and our catalogs. You grant us the limited rights needed to operate the service — and nothing in these terms grants us the right to train models on your content.

03Acceptable use

• No unlawful, infringing, or harmful use, and no processing of data you lack the rights to process.
• No attempts to defeat governance controls — gates, budgets, policies, and audit exist for your protection and your regulator's.
• No reverse engineering, resale, or benchmarking-for-publication without written consent.

04Human oversight

Cortex is built for human-governed automation. You are responsible for configuring oversight appropriate to your use case — approval thresholds, autonomy modes, and policies — and for the decisions your organization makes with agent outputs.

05Billing

Paid plans bill per seat, monthly or annually, plus any run overage at the published rate. Amounts are exclusive of taxes. Seats prorate on change; fees are non-refundable except where required by law or your agreement says otherwise.

06Warranties & liability

The service is provided with commercially reasonable skill and care and the uptime commitments of your plan. Except as required by law, our aggregate liability is capped at the fees paid in the twelve months before the claim, and neither party is liable for indirect or consequential damages.

07Suspension & termination

Either party may terminate for material breach uncured after notice. We may suspend access that endangers the service or other tenants. On termination you can export your content for 30 days before deletion.

08Changes

We may update these terms with 30 days' notice for material changes; continued use after the effective date is acceptance. Contact legal@cortexaios.com with questions.
